1Mrs. Uma Hada (DIN No. 06463684) appointed as a Women Director in our Board w.e.f. April 8, 2015.
2The Board of Directors in its meeting held on 06.11.2015, declared an Interim Dividend @ Re.1.50 per equity share(i.e.75%) on face value of Re. 2/- per share for the Financial Year 2015-2016.
3The Board of Directors in its meeting held on 11.03.2016, inter- alia declared 2nd Interim Dividend @ Re.2.00 per equity share (i.e.100%) on face value of Re. 2/- per share for the Financial Year 2015-2016. The payment of Dividend will be made on or after
March 29, 2016 to those members whose name appears in the register of members as on "Record-Date" i.e. March 19,2016.
4Meeting Of The Board of Directors of The Company will be convened on July 22,2016, inter- alia to approve and take on record the Unaudited Financial Results for the Quarter ending June 30,2016.
5Meeting of the Board of Directors of the company will be convened on Friday, the November 11, 2016 inter-alia to take on record the Unaudited Financial Results for the quarter and half year ended September 30, 2016 and to recommend interim dividend, if any for the Financial Year 2016 – 17.
Further November 19, 2016 has been fixed as Record Date for payment of interim dividend, if considered.
6The Board of Directors in its meeting held on 11.11.2016, declared an Interim Dividend @ Re.1.50 per equity share (i.e.75%) on face value of Re. 2/- per share for the Financial Year 2016-2017.
7Meeting of the Board of Directors of the company will be convened on Friday, the February 03, 2017 inter-alia to take on record the Unaudited Financial Results for the quarter and nine months ended December 31, 2016.
8Reserve Bank of India has granted NBFC License to Company's Wholly Owned Subsidiary, APM Finvest Limited.
9The Board of Directors in its meeting held on 20.03.2017 approved Demerger/hiving-off of the finance and investment business and assets of the Company to its wholly owned subsidiary APM Finvest Limited, through a scheme of arrangement to be framed in terms of Section 230 to 232 of the Companies act, 2013 and other applicable laws.
10Meeting of the Board of Directors of the Company will be convened on Friday, the May 12, 2017, inter alia to approve and take on record the Audited Financial Results for the quarter and year ended March 31, 2017 and to consider Dividend for the Financial Year 2016-17, if any. Pursuant to the Company's Code of Conduct framed in accordance with the SEBI (Prohibition of Insider Trading) Regulations, 2015, Trading Window for dealing in shares of the Company, for persons specified under the Code, shall remain closed from May 09, 2017 to May 15, 2017 (both days inclusive)
11Meeting of Board of Directors of the Company is scheduled to be convened on Tuesday, 11th July, 2017 at 11.30 A.M. at 910, Chiranjiv Tower, 43- Nehru Place, New Delhi – 110019. In terms of Company's Code of Conduct framed under SEBI (Prohibition of Insider Trading) Regulations, 2015, the 'Trading Window' in respect of the Equity Shares of the Company shall remain close from July 08, 2017 to July 14, 2017 (both days inclusive)
12Meeting of Board of Director is being rescheduled on Wednesday, 12th July, 2017 at 03.00 P.M. at 910, Chiranjiv Tower, 43- Nehru Place, New Delhi – 110019 instead of Tuesday, 11th July, 2017. The agenda items, record date and closure of trading window remain unchanged.
13Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, this is to inform you that a meeting of Board of Directors of the Company was held today i.e. Wednesday, 12thJuly, 2017, commenced at 03:00 P.M. and concluded at 04.30 P.M. at 910, Chiranjiv Tower, 43- Nehru Place, New Delhi- 110019, has inter-alia discussed and approved the followings matters: Postal Ballot Notice pursuant to Section 110 of the Companies Act, 2013 read with Rule 22 of the Companies (Management and Administration) Rules, 2014, for seeking approval of the Members of the Company on the following resolutions: (a)Amend Memorandum of Association of the Company as per the provisions of the Companies Act, 2013. (b)Alter object clause of Memorandum of Association of the Company with the intention of widening the scope of business activities. (c)Adopt new Articles of Association of the Company as per provisions of Companies Act, 2013, and Mr. Akash Gupta, Practicing Company Secretary, ACS No. 30099 & COP No. – 11038, (Proprietor of M/s Akash Gupta & Associates, Practicing Company Secretaries) has been appointed as Scrutinizer to conduct the said Postal Ballot process (through physical form and e-voting process) in fair and transparent manner.
14Meeting of Board of Directors of the Company will be convened on Friday, the August 11, 2017, inter–alia to approve and take on record the Unaudited Financial Results for the quarter ended June 30, 2017. The Trading window of the Company will remain closed from August 08, 2017 to August 14, 2017 (both days inclusive)
15Meeting of Board of Directors of the Company will be convened on Wednesday, the November 15, 2017, inter-alia to approve and take on record the Unaudited Financial Results for the quarter and six months ended September 30, 2017 and to consider Interim Dividend for the Financial Year 2017 - 2018, if any. The Trading window of the Company will remain closed from November 13, 2017 to November 20, 2017 (both days inclusive).
16The Board in its meeting held on 15 November, 2017, decided not to declare any interim dividend for the Financial Year 2017 - 18.
17Meeting of the Board of Directors of the Company will be held on Thursday, January 11, 2018 to consider and approve 'Demerger of 'Finance and Investment Undertaking' of the Company and subsequent amalgamation with its wholly owned subsidiary, APM Finvest Limited, a Company registered with Reserve Bank of India as Non-Banking Financial Company and consideration for approval of Draft Scheme of Arrangement.' The Trading Window for dealing in the securities of the Company shall remain closed for all Designated Persons with immediate effect and it shall remain closed till January 13, 2018.
18Board of Directors in its meeting held on January 11, 2018, approved Scheme of Arrangement ('Scheme') under section 230-232 read with section 66 of the Companies Act, 2013 ('Act') between APM Industries Limited and APM Finvest Limited, a wholly owned subsidiary of the Company, and their respective shareholders and creditors.Click here
19In terms of Regulation 29 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, please be informed that a meeting of Board of Directors of the Company will be convened on Tuesday, the February 06, 2018, inter-alia to approve and take on record the Unaudited Financial Results for the quarter and nine months ended December 31, 2017.
Trading window of the Company will remain closed from February 03, 2018 to February 09, 2018 (both days inclusive).
20In terms of Regulation 29 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, please be informed that a meeting of Board of Directors of the Company will be convened on Thursday, the May 03, 2018, inter-alia to approve and take on record the Audited Standalone and Consolidated Financial Results for the quarter and year ended March 31, 2018 and to recommend Dividend for the Financial Year 2017 - 2018, if any. The Trading window of the Company will remain closed from April 30, 2018 to May 07, 2018 (both days inclusive)
21This is to inform you that the Meeting of the Board of Directors of the Company as fixed on Thursday, the May 03, 2018 has been rescheduled and would now be held on Tuesday, the May 08, 2018, inter-alia to approve and take on record the Audited Standalone and Consolidated Financial Results for the quarter and year ended March 31, 2018 and to recommend Dividend for the Financial Year 2017 – 2018, if any.
Consequent to the above, the closure period of the trading window stands revised from May 05, 2018 to May 11, 2018 (both days inclusive).
